The Chief Legal Officer (CLO) develops, manages and implements legal posture and counsel for the organization. Currently, this role is responsible for the overall legal, government affairs, risk management and corporate compliance functions for CCHMC. The CLO provides comprehensive legal advice and services for Cincinnati Children's, its Board of Trustees, the CEO and PLT, either directly or through supervision of counsel. It is expected that the new CLO will further streamline and evaluate the various functional responsibilities reporting to the CLO role.
Reporting Relationships The CLO reports directly to the President and Chief Executive Officer and is member of the PLT. The CLO currently has four direct reports that includes Vice President, General Counsel and Sr. Risk Officer, Assistant Vice President, Internal Audit, Assistant Vice President, Government Relations and an Executive Administrative Assistant.The legal department currently has six attorneys and a total of 32 FTEs (including attorneys).
Responsibilities Legal, Compliance and Government Relations Leadership
??? Participates as a strategic member of the PLT of Cincinnati Children's. Consults with and advises the CEO and other executives with regard to legal implications of the organization's overall strategic direction. Provides ongoing legal counsel and advice to the PLT, the Board of Trustees and other stakeholders within Cincinnati Children's, especially surrounding those issues pertaining to governance, legal risk, liability and ways to minimize both risk management, public policy and advocacy. ??? Responsible for legal and compliance matters affecting CCHMC, including planning and direct oversight for the corporate compliance program. ??? Provides strategic oversight and management of the government relations department. ??? Oversees the creation of programs designed to reduce/prevent risk to the organization, and works collaboratively on risk management issues, including claims management and litigation management across the institution. ??? Oversees policies and procedures to ensure compliance with applicable laws and regulations. ??? Provides legal assistance and direction regarding commercial and business transaction (including the purchase, sale, lease and other transactions involving real estate, major equipment, physician groups or entities and related healthcare organizations). ??? Provides legal expertise for mergers, affiliations and other organizational transactions including compliance with the Federal Trade Commission and/or other federal and state regulatory bodies, and participates actively on teams responsible for coordinating and managing related processes especially during the negotiation, due diligence, merger and transitional phases. ??? Serves as Secretary of the CCHMC Board of Trustees.

??? Provides strategic direction and oversight for all aspects of the organization's legal affairs. ??? Represents the Legal, Compliance and Government Relations Departments at all levels of CCHMC, as well as to outside partners to ultimately support the success and direction of CCHMC. ??? Monitors and assures compliance with regulatory agencies. ??? Leads the development, implementation and assessment of departmental policies, procedures and philosophy, as consistent with CCHMC policies and values. ??? Builds and maintains collaborative and effective relationships with the CCHMC community across the three missions of research, education and clinical care.
Leading Others
??? Provides the professional leadership necessary to drive continuous improvement and operational efficiency by employing "best practices." ??? Oversees a high-performing team that provides a broad range of legal and compliance services that are linked into strategic and operational initiatives and reflect a depth of functional expertise. ??? Mentors legal affairs team maximizing the talents of staff and developing strategies for filling experiential gaps and skills. The CLO must champion a diverse and inclusive culture that rewards innovation and creativity on the part of all staff members. The CLO will build actionable succession pipelines in each functional area. ??? Establishes internal and external expectations to consistently deliver the best in customer service as a support to excellence in patient care and research. ??? Coordinates and develops interdepartmental communication and collaboration as they relate to all areas of responsibility.
Qualifications
EDUCATION/EXPERIENCE
Excellent academic credentials, a law degree from an ABA accredited school of law, membership in the Ohio State Bar or eligibility for admission based on reciprocity is required (if reciprocity is not available, out of state candidates will be expected to register to provide legal services as in-house counsel according to the rules of the State Bar of Ohio)
Required:
The ideal candidate will have ten (10) to fifteen (15) years legal experience, including at least seven (7) years of health care law experience gained in-house or through working closely with complex health care clients. Experience working in a children's health care setting would be a plus.

A demonstrated ability to effectively analyze and balance legal issues with a propensity for developing practical but legally appropriate solutions to issues and challenges. ??? Strong team player skills with a track record of working collaboratively with a highly professional team. ???
